This Agreement is between the Overtown Business Association (“OBA”) and the participating business (“Business”). By signing Page 1, the Business agrees to the following:

1. RIGHT OF ENTRY AND ACCESS The Business grants OBA permission to enter approved areas for photography/video on Friday, December 5, 2025.

2. CONSENT TO RECORDING The Business consents to capturing inside/outside visuals including signage, staff, and patrons.

3. OWNERSHIP OF CONTENT OBA owns all images/video. OBA grants the Business a royalty-free license to use final edited versions.

4. USE OF BUSINESS NAME, LOGO & LIKENESS OBA may use the Business name, imagery, and branding in promotional and educational materials.

5. RELEASE OF LIABILITY The Business releases OBA from liability for minor or unintentional incidents not caused by negligence.

6. INDEMNIFICATION The Business agrees to indemnify OBA from claims by individuals informed of filming who object.

7. INSURANCE OBA maintains general liability insurance and can provide a Certificate of Insurance on request.

8. NO DISRUPTION OBA will not block entrances, disrupt customers, or interfere with operations.

9. VOLUNTARY AGREEMENT Participation is voluntary and without compensation. Signatory affirms authority to bind the Business.

10. GOVERNING LAW This Agreement is governed by Florida law.
